- INTRODUCTION
These Terms and Conditions establish the legal framework governing access to and use of the document automation service provided by Calia Tech S.A.S. By using the Service, you acknowledge that you have read, understood, and agreed to these terms. You must refrain from using the Service if you do not accept these terms.
- SCOPE OF SERVICE
The Service offers comprehensive document automation solutions, including setup, customization, and integration with business workflows. Calia manages all technical aspects, ensuring a seamless implementation. The Service is provided on an “as-is” and “as-available” basis. Calia does not guarantee uninterrupted operation or the absence of errors. While Calia aims to maintain a high standard of service, occasional maintenance or technical issues may arise that impact availability.
The User acknowledges that certain functionalities of the Service may require integration with third-party applications or platforms. Calia shall not be responsible for any disruptions, incompatibilities, or limitations these third-party services impose.
- USER RESPONSIBILITIES
The User agrees to:
- Provide accurate, lawful, and up-to-date document templates and workflow details.
- Keep account credentials and access information confidential and secure.
- Use the Service only for lawful business purposes and in compliance with applicable laws and regulations.
- Avoid using the Service for fraudulent, unauthorized, or abusive activities, including but not limited to unauthorized data extraction, malicious software distribution, or violation of intellectual property rights.
- Promptly report any unauthorized access or security breach related to their account.
Failure to comply with these responsibilities may result in the suspension or termination of access to the Service.
- DATA PRIVACY AND SECURITY
Calia implements industry-standard security measures to protect User data from unauthorized access, disclosure, alteration, or destruction. However, Calia is not liable for data breaches beyond its reasonable control.
By using the Service, the User consents to data collection, processing, and storage as described in the Privacy Policy. Calia commits to maintaining confidentiality and will not share or sell User data to third parties except as required by law or with explicit User consent.
Calia advises Users to maintain backups of critical documents and data, as they cannot be held responsible for accidental file loss or corruption.
- INTELLECTUAL PROPERTY
All content, trademarks, logos, and intellectual property related to the Service remain the exclusive property of Calia. The User is granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose. The User may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Service without prior written permission from Calia.
Any content uploaded by the User remains the User’s property. However, the User grants Calia a limited license to process, store, and display such content necessary to provide the Service.
- LIMITATION OF LIABILITY
To the fullest extent permitted by law, Calia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from using the Service. This includes, but is not limited to, losses related to business interruption, lost profits, lost data, or reputational harm.
Calia’s total liability under this Agreement shall not exceed the amount paid by the User for the Service in the 12 months preceding the claim. Suppose the User uses a free or trial version of the Service. In that case, Calia shall have no liability for any damages or losses incurred.
- SERVICE MODIFICATIONS, SUSPENSION, AND TERMINATION
Calia reserves the right to modify, update, suspend, or discontinue the Service at any time, with prior notice, when reasonably possible. Such modifications may include updates to improve functionality, address security concerns, or comply with regulatory requirements.
The User may cancel the Service anytime; however, refunds are only provided if explicitly stated in a separate agreement. In cases of non-compliance with these Terms, Calia may terminate access to the Service without prior notice.
- GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and interpreted by the applicable laws of the competent jurisdiction. Any disputes arising from the use of the Service shall first be attempted to be resolved through negotiation. If no resolution is reached, disputes shall be submitted to the competent courts using the applicable legislation.
- FORCE MAJEURE
Calia shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, cyberattacks, or disruptions in third-party services.
- CHANGES TO TERMS
Calia reserves the right to update these Terms and Conditions anytime. Changes will be communicated via email or through the Service interface. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
